Duties: Lead the drafting and negotiation of purchase and merger agreements. Draft and review LLC, LP, and other ancillary transaction documents. Support private equity fund clients and portfolio companies in day-to-day legal matters. Act as a strategic extension of client business teams. Collaborate closely with internal and external teams in a dynamic work environment. Ensure transactions are executed efficiently while maintaining high attention to detail. Requirements: 4-5 years of experience in private equity and mergers and acquisitions. Experience with drafting and negotiating legal agreements such as purchase and merger agreements, LLC, LP agreements, and related documents. Prior experience in a large law firm environment, particularly with private equity sponsors. Ability to manage multiple projects and prioritize in a fast-paced, team-oriented environment. Strong business judgment and strategic thinking skills. Education: A Juris Doctor (JD) from an accredited law school with excellent academic credentials. Certifications: Active Bar membership in the state of California (or the ability to obtain membership promptly). Skills: Excellent drafting, writing, and analytical skills. Strong attention to detail and organizational skills. Exceptional verbal and interpersonal communication abilities. Strong project management skills and ability to meet deadlines.
