Job Description

A law firm in Century City is seeking a talented Corporate Paralegal to join their team!

Responsibilities:

  • Manage full lifecycle of M&A and corporate transactions, from due diligence to post-closing
  • Draft and organize closing documents: resolutions, consents, certificates, etc.
  • Coordinate execution of documents and assemble final executed closing binders (physical and digital)
  • Conduct UCC and lien searches, review findings, and manage UCC filings
  • Create and maintain closing checklists, track deliverables, and distribute executed documents
  • Maintain post-closing database and send reminders for follow-ups
  • Draft and file incorporation, formation, qualification, and amendment documents
  • Prepare stock certificates, legend sheets, and shareholder/board consents
  • Apply for EINs, reserve entity names, and liaise with registered agents
  • Transition corporate records to maintenance team for ongoing compliance
  • Coordinate with attorneys, corporate service vendors, and opposing counsel
  • Maintain client data in internal systems and manage billing/invoice tracking
  • Organize virtual and physical data rooms for transactions and due diligence

Required Skills and Technology:

  • Minimum of 3 years’ experience handling transactional legal matters, including M&A
  • Bachelor’s degree required ; ABA-approved paralegal certificate preferred
  • Familiarity with both buy-side and sell-side transactions and equity deals
  • Experience with document distribution, UCC filings, and post-closing management
  • Microsoft Office Suite (Word, Excel, PowerPoint)
  • Experience with legal document management and closing software preferred
